A RESOLUTION BY TRANSPORTATION COMMITTEE AUTHORIZING THE MAYOR TO EXECUTE AN AGREEMENT WITH ATLANTA AIRLINES TERMINAL COMPANY TO IMPLEMENT THE CONCOURSE E CENTRAL UTILITY PLANT (E-CUP) ENHANCEMENTS PROJECT AT HARTSFIELD-JACKSON ATLANTA INTERNATIONAL AIRPORT, IN AN AMOUNT NOT TO EXCEED $19,000,000.00; ALL SERVICES WILL BE CHARGED TO AND PAID FROM THE ACCOUNT NUMBERS LISTED HEREIN; AND FOR OTHER PURPOSES.

WHEREAS, the City of Atlanta (the “City”), as owner and operator of Hartsfield-Jackson Atlanta International Airport (“Airport”), has entered into certain lease agreements with various airlines (“Contracting Airlines”) serving the Airport, which cover the planning, design, development, construction, maintenance and operation of the Central Passenger Terminal Complex (“CPTC”) at the Airport; and

 

WHEREAS, the Contracting Airlines in 1978 formed Atlanta Airlines Terminal Company (“AATC”) to manage and operate the jointly leased and common use areas of the CPTC on behalf of the Airlines and the City; and

 

WHEREAS, the Concourse E Central Utility Plant (“E-CUP”) was completed in 1994 as part of the opening of Concourse E and houses critical mechanical equipment that supports operation of the concourse and passenger comfort; and

 

WHEREAS, the E-CUP Enhancements Project (the “Project”) will provide the design and construction to install four (4) new chillers; replace the cooling tower; renovate the Heated Hot Water Plant by replacing boiler #2; and replace primary pumps on all boilers to increase primary flow, as well as replace the HVAC controls for the E-CUP; increase electrical power capacity; and replace aging piping on ancillary systems as necessary; and

 

WHEREAS, the City has determined that it is appropriate for AATC to assume responsibility for implementing the Project and for the City to reimburse AATC for its costs in an amount not to exceed $19,000,000.00.

 

NOW, THEREFORE, BE IT RESOLVED BY THE CITY OF ATLANTA, GEORGIA, that the Mayor is authorized to execute an Agreement with AATC to implement the Concourse E Central Utility Plant Project in an amount not to exceed $19,000,000.00.

 

BE IT FURTHER RESOLVED, that all contracted work shall be charged to and paid from PTAEO 18111301 (Terminal & Atrium Projects) F1002105 (E-CUP) 553422332 (Airport Bond Anticipation Note 2016) 5414002 (Facilities Other Than Buildings) and FDOA  5534 (DOA Series 2016 Bond Anticipation Notes) 180201 (DOA Aviation Capital Planning & Development) 5414002 (Facilities Other Than Buildings) 7563000 (Airport) 111301 (Terminal & Atrium Projects) 22332 (Airport Bond Anticipation Note 2016).

BE IT FURTHER RESOLVED, that AATC is scheduled to complete all services for the Project within 732 calendar days from the date such services begin.

 

BE IT FURTHER RESOLVED, that the City Attorney is directed to prepare an Agreement for execution by the Mayor. 

 

BE IT FINALLY RESOLVED, that the Reimbursable Agreement will not become binding on the City and the City will incur no liability under it until it has been executed by the Mayor, attested to by the Municipal Clerk, approved by the City Attorney as to form and delivered to AATC.
