A RESOLUTION BY TRANSPORTATION COMMITTEE AUTHORIZING THE MAYOR TO EXECUTE AMENDATORY AGREEMENTS AND CERTAIN EASEMENT AGREEMENTS WITH VARIOUS LESSEE’S MEMORIALIZING THE LEASE ADJUSTMENTS RESULTING FROM COMPLETION OF CONSTRUCTION OF THE MAYNARD HOLBROOK JACKSON JR., INTERNATIONAL TERMINAL AND TO FINANCE CONSTRUCTION OF ADDITIONAL PARKING SPACES IN AN AMOUNT NOT TO EXCEED $1,200,000.00 TO BE PAID FROM AND CHARGED TO PTAEO: 18111306 (PARKING AND GROUND TRANSPORTATION) D7001016 (EMPLOYEE PARKING PROJECT-DELTA AIRLINES CTSA) 550291249 (DOA R N E 9999) 5414002 (FACILITIES OTHER THAN BLDGS) AND FDOA: 5502 (AIRPORT RENEWAL & EXTENSION FUND) 180201 (DOA AVIATION CAPITAL PLANNING & DEVELOPMENT) 5414002 (FACILITIES OTHER THAN BLDGS) 7563000 (AIRPORT) 111306 (PARKING AND GROUND TRANSPORTATION) 91249 (DOA R N E 9999); AND FOR OTHER PURPOSES.

WHEREAS, the City of Atlanta (“City”) has completed the design and construction of the Maynard Holbrook Jackson Jr., International Terminal (“MHJIT”) and related aircraft ramp, entrance roadway, vehicle parking facilities, and extension of the Automated People Mover System, to improve service to International airlines and their passengers at Hartsfield-Jackson Atlanta International Airport (“ATL”); and

 

WHEREAS, the City required the temporary use of certain portions of Delta Air Lines’ (“Delta”) Technical Operations Center and Central Terminal Support Area (“TOC/CTSA”), Federal Aviation Administration (“FAA”), and Domestic Gate Gourmet Flight Kitchen (“Gate Gourmet”) Leaseholds, both temporarily and permanently, to provide the necessary physical space and safety buffers required for the construction of the MHJIT pursuant to Resolution 08-R-1110; and

 

WHEREAS, the Delta TOC/CTSA Lease Amendment No. 6 contemplated that Delta and Gate Gourmet would permanently surrender the leased premises required to provide the right of way for the reconfigured Maynard Jackson Boulevard and the associated Terminal Roadways; and

 

WHEREAS, the final reconfiguration of Maynard Jackson Boulevard may require the execution of certain utility easements and air rights easements to support the new road configuration; and

 

WHEREAS, of the MHJIT and associated roadways has been completed and the City, Delta, Gate Gourmet, and the FAA desire to formally re-establish the various Leasehold premises; and

 

WHEREAS, Delta has requested additional lease space be added to the CTSA lease area south and west of the Gate Gourmet flight kitchen with the intention of constructing additional parking spaces and associated infrastructure; and

 

WHEREAS, the City has agreed to enter into a lease Amendment with Delta for such additional lease premises and to finance the construction of the additional parking spaces and associated infrastructure for a cost not to exceed $1,200,000.00.

 

NOW, THEREFORE, BE IT RESOLVED BY THE COUNCIL OF THE CITY OF ATLANTA, GEORGIA, that the Mayor is authorized to execute on behalf of the City of Atlanta various Amendatory and Easement Agreements, and such other transactional documents necessary in support of the MHJIT project.

 

BE IT FURTHER RESOLVED, that the lease Amendment with Delta shall provide for a Tenant Finish financing for a maximum investment not to exceed $1,200,000.00, to be recovered through applicable rentals over twenty (20) years, which amount is calculated by amortizing the City’s cost of the improvements at six percent (6%) per annum over twenty years.

 

BE IT FURTHER RESOLVED, that these funds shall be paid from PTAEO: 18111306 (Parking And Ground Transportation) D7001016 (Employee Parking Project-Delta Airlines CTSA) 550291249 (DOA R N E 9999) 5414002 (Facilities Other Than Bldgs) and FDOA: 5502 (Airport Renewal & Extension Fund) 180201 (DOA Aviation Capital Planning & Development) 5414002 (Facilities Other Than Bldgs) 7563000 (Airport) 111306 (Parking And Ground Transportation) 91249 (DOA R N E 9999).

 

BE IT FURTHER RESOLVED, that the City Attorney be and is hereby directed to prepare said Amendatory and Easement Agreements and other required transactional documents for execution by the Mayor.

 

BE IT FINALLY BE RESOLVED, that said Agreements shall not become binding on the City and the City shall incur no liability upon same until such Agreements have been executed by the Mayor, approved as to form by the City Attorney, attested to by the Municipal Clerk, and delivered to the appropriate parties.
